General terms and conditions of sale

1. Scope

These terms and conditions of sale apply, without restriction or reservation, to all sales concluded between, on the one hand, Algosource, a public limited company registered with the Saint-Nazaire Trade and Companies Register under number 752283341, whose registered office is located at 3 rue des Sources 44350 Guérande, whose intra-community VAT number is FR76752283341, (hereinafter referred to as "Algosource"), and on the other hand, any non-professional buyer (hereinafter referred to as the "Customer" or "Customers") wishing to purchase the products offered for sale by Algosource (hereinafter referred to as the "Products") via the website algosource.com (hereinafter referred to as the "Website").

They specify, in particular, the terms and conditions for ordering, payment, delivery, and handling of any returns of Products ordered by Customers. The Products offered for sale on algosource.com fall under the categories of nutraceuticals and nutricosmetics.

The main characteristics of the Products, including specifications, illustrations, and indications of dimensions or capacity, are presented on the Website. The Customer is required to review this information before placing any order. The selection and purchase of a Product on algosource.com is the sole responsibility of the Customer.

The Customer is required to refer to the description of each Product in order to know its essential properties and characteristics.

The Customer's order confirmation constitutes acceptance, without restriction or reservation, of these terms and conditions of sale. The Customer acknowledges having the legal capacity to enter into a contract and purchase the Products offered on the Website. These terms and conditions of sale shall prevail over any other general or specific terms and conditions not expressly agreed to by Algosource. These general terms and conditions of sale are accessible at any time on the Website. The Customer declares having read and accepted these general terms and conditions of sale before initiating the online ordering process, as well as the general terms of use of the Website.

Algosource reserves the right to modify its terms and conditions of sale at any time. In this case, the applicable terms and conditions will be those in effect on the date the order is placed by the Customer. Unless proven otherwise, the data recorded in Algosource's computer system constitutes proof of all transactions concluded with the Customer. These terms and conditions of sale are concluded for the duration necessary for the delivery of the Products.

In accordance with the French Data Protection Act of 6 January 1978, the Client has the right at any time to access, rectify and object to all of his personal data by writing, by mail and providing proof of identity, to the address mentioned above.

2. Orders

The Customer can place orders online at algosource.com

Customers wishing to place an order on the Website must order according to the following procedures:

  • create a "customer account" in which he will provide all the requested contact details,
  • create an online "shopping cart" by selecting all the chosen products,
  • accept these general terms and conditions of sale,
  • confirm your order after checking it.
  • make the payment under the conditions stipulated.

All orders imply full and unreserved acceptance of these general terms and conditions of sale. All orders constitute acceptance of the prices and descriptions of the Products available for sale.

The contractual information is presented in French and is subject to confirmation no later than when the order is validated by the Customer.

Once the Customer has validated their order, they are deemed to have knowingly and unreservedly accepted these general terms and conditions of sale, as well as the prices, volumes, and quantities of products offered for sale and ordered. The sale will only be considered final after Algosource sends the Customer confirmation of order acceptance by email and after Algosource has received full payment. It is the Customer's responsibility to verify the accuracy of the order and to report any errors immediately. Any order placed on the Website constitutes a distance contract between the Customer and Algosource.

Algosource product offers are valid while stocks last.

When an ordered Product is unavailable and/or out of stock, the Customer is notified and informed of the expected availability date by email or, in the case of an order for multiple Products, on the invoice for the shipped Products. Algosource cannot under any circumstances be held liable for the unavailability of a Product.

In the event that a Product(s) is/are unavailable and/or out of stock, the Customer may request a refund for the unavailable or out-of-stock Product(s). Only the permanent discontinuation of a Product by Algosource's suppliers will result in its removal from our sales offer. Algosource will then remove this Product from the algosource.com website as soon as possible.

Algosource reserves the right to cancel or refuse any order from a Customer with whom there is an existing dispute relating to the
payment for a previous order.

3. Offers and prices

Algosource reserves the right to modify its prices at any time but undertakes to apply the rates in effect at the time of the order, subject to availability on that date. Offers and Products are provided at the rates in effect as shown on the website algosource.com.

Product prices are shown in euros, inclusive of all taxes, and do not include delivery charges, which are billed separately and indicated before order confirmation, packaging and order processing charges.

Promotional offers are valid for the period specified and as long as they are displayed on the algosource.com website, and while stocks last. Orders can only be accepted if the prices quoted are in accordance with
those of the current offer.

The price is payable in full, in a single payment, on the day the order is placed by the Customer, via secure payment. Under no circumstances may the sums paid be considered as a deposit or down payment. No cash-on-delivery shipments will be accepted, for any reason whatsoever. If one or more taxes or contributions, particularly environmental ones, are created or modified, whether increased or decreased, this change may be reflected in the selling price of the Products.

All orders are invoiced and payable in euros.

Algosource reserves the right, in the event of non-compliance with payment conditions, to suspend or cancel the delivery of pending orders placed by the Customer.

4. Delivery

4-1. Product Provisioning Fees

For each order, a flat-rate contribution to the delivery costs is required, which includes shipping, packaging, and order processing. This flat-rate contribution is based on the delivery method chosen by the Customer when placing the order and is charged per zone (valid for the main offers accessible on the Website, excluding specific offers intended solely for mainland France, accessible via discount codes, advertisements, or email campaigns):

Shipping costs are inclusive of VAT.

To reduce shipping costs, small and medium-sized items shipped via La Poste's Colissimo home delivery service are generally delivered within forty-eight (48) hours throughout France. This service allows customers to collect their order from the post office nearest to the delivery address if they are not present at the initial delivery location when the postman attempts delivery.
If the customer is absent on the day of delivery, the postman will leave a delivery notice in his mailbox, which will allow him to collect his package from the post office during opening hours, within fifteen days.
The Customer is able to track their order using the Colissimo number which is sent to them by email on the day their order is shipped.

An order may be delivered to the customer in several installments/packages. The customer will only be charged for one delivery.

4-2. Product delivery times

Algosource undertakes to make its best efforts to deliver the Products ordered by the Customer as quickly as possible.
However, if the ordered Products have not been delivered within thirty (30) days After placing the order, the Customer must inform Algosource as soon as possible, by telephone or email. Algosource will contact the carrier to initiate an investigation, which may take up to twenty-one (21) days. If the Products are found, they will be reshipped to the Customer's address. If the Products are not found at the end of the investigation, they will be considered lost, and Algosource will then be able to send the Customer replacement Products at no additional cost. If the ordered Products are no longer available, Algosource will refund the amount of the Products considered lost. If the Products are still available but the price has changed on the Website, Algosource will apply the prices agreed upon at the time of the initial sale.

In any event, if the Products have not been delivered within ten (10) days of the estimated delivery date, for any reason other than force majeure or the Customer's own actions, the sale may be cancelled at the Customer's written request, in accordance with Articles L. 216-2 to L. 216-4 of the French Consumer Code. The sums paid by the Customer will then be refunded within fourteen days of the date of cancellation, without any compensation or deductions.

4-3. Delivery address

The Products are delivered to the address provided by the Customer when placing the order. The Customer must ensure its accuracy.
Any package returned to Algosource due to an incorrect or incomplete delivery address will be reshipped at the customer's expense, and Algosource cannot be held responsible for any inability to deliver the order. If the customer wishes to have their order delivered to two separate addresses, they must place two separate orders, each with its own delivery charge.

4-4. Order Receipt

Upon receipt of the order, the Customer is required to check the condition of the delivered Products. In the event of visible defects, the Customer has the right to return the Products under the conditions stipulated in these terms and conditions.

Change of mind

In the event of a change of mind concerning a product, the buyer may return said Product within fourteen (14) days after receipt of delivery to Algosource by following the procedure provided below and accessible on the Site.

The Customer must notify Algosource's customer service of their intention to return a Product:

To receive a refund, the Customer must return the Product in its original packaging to the following address:

Return shipping costs are the responsibility of the customer.

The refund will be made using the same payment method used by the Customer for the order, unless the Customer and Algosource agree to the use of another payment method.

Non-compliant or defective products

In the event of delivery to the Customer of a non-conforming or defective Product, the buyer must notify Algosource's customer service department as soon as possible:

  • by phone at 07 85 92 74 33.

Depending on the customer's request, customer service may process a refund for the product.

The refund will be made using the same payment method used by the Customer for the order, unless the Customer and Algosource agree to the use of another payment method.

Damaged package

If the Customer notices at the time of delivery of his package which must be delivered against signature that it is damaged, he can, at his option, refuse the package which will then be directly returned to Algosource; or accept the package while reporting the damage to its packaging.

If the Customer notices that the packaging of his parcel to be returned to the mailbox is damaged, he may, provided that the parcel has not been opened, refuse the parcel by returning it to the Post Office, at the latest on the next working day following its delivery.

Returns marked "NPAI"

After Algosource receives and accepts the returned package, a full refund of the order amount, minus shipping costs, will be issued via the original payment method within forty-eight (48) hours of Algosource receiving the package. The customer can then place their order again, ensuring the accuracy of the delivery address provided.

Returns marked "unclaimed"

Returns marked "unclaimed" refer to packages that were not collected by the customer from the post office or the retailer chosen by the customer during the ordering process within fifteen (15) days of the delivery notice. After Algosource receives and accepts the returned package, a full refund of the order amount, less shipping costs, will be issued via the original payment method within forty-eight (48) hours of Algosource receiving the package. The customer may then place a new order.

4-5. Orders delivered outside the European Union

Orders shipped to countries outside the European Union, including Switzerland, the United Kingdom, and Norway, are quoted excluding taxes. Taxes are payable by the Customer upon receipt of the package, according to the laws in force in the destination country. It is the Customer's responsibility to inquire with local authorities about any customs duties, local taxes, and other import fees that may be levied, as these are not the responsibility of Algosource.

The products sold by Algosource comply with French regulations. It is therefore the Client's responsibility to check with the local authorities in their country regarding any import and usage restrictions on the products ordered.

Algosource cannot be held responsible for the purchase of a Product considered non-compliant in a given country, even though that Product complies with French regulations.

5. Right of withdrawal

In accordance with Article L. 221-18 of the French Consumer Code, the Customer has fourteen (14) days from receipt of the order to exercise their right of withdrawal with Algosource, without having to provide any justification or pay any penalty, for a full refund, provided that the Products are returned in their original packaging, complete (i.e., accessories, instructions) and in perfect condition, allowing for resale. Damaged, soiled, or incomplete Products will not be accepted. The Products must be returned within fourteen (14) days of notifying Algosource of the Customer's decision to withdraw. This period begins at the start of the first hour of the first day and ends at the end of the last hour of the last day of the period. If this period expires on a Saturday, Sunday, or public holiday, it is extended to the next working day.

It is advisable to return the package by tracked mail, in the event that it is lost during postal delivery, Algosource cannot be held responsible in this regard.

6. Reimbursement

If the order is not received within the aforementioned delivery timeframe, for any reason other than force majeure or the Client's own actions, the sale may be cancelled at the Client's written request, under the conditions stipulated in Article L. 216-2 of the French Consumer Code. The sums paid by the Client will then be refunded no later than fourteen (14) days following the date of cancellation of the contract by the Client, without any compensation or deductions.

In the event that the ordered Product is unavailable, the Customer who opted for a refund will be reimbursed for the sums paid no later than thirty (30) days from the date of payment.

If the right of withdrawal is exercised within the period referred to in Article 5, only the price of the Product(s) purchased and the delivery costs will be refunded; the return costs will remain the responsibility of the Customer.
The Customer will be reimbursed within fourteen (14) days of receipt of the Products by Algosource.

The refund will be made according to the payment method used by the Customer when placing their order.

Algosource reserves the right to cancel and refund all orders placed by a professional.

7. Payment terms

This is an order with an obligation to pay, which means that placing the order implies payment by the Customer.

To pay for their order, the Customer may choose from all the payment methods made available by Algosource and listed.
on the website algosource.com, namely:

  • by bank card;
  • by bank transfer;
  • via Google Pay;
  • via Apple Pay.

The Customer warrants to Algosource that they have all necessary authorizations to use the payment method chosen when validating the order. Algosource reserves the right to suspend order processing and delivery in the event of a payment authorization refusal by officially accredited organizations or in the event of non-payment. Algosource also reserves the right to refuse to make a delivery or fulfill an order from a Customer who has not fully or partially paid for a previous order or with whom a payment dispute is pending.

Algosource does not store any personal or financial information in its database when processing the Client's payment.

Payment by bank card

Payment by credit card is made directly online via a secure transaction, using the Shopify Payments system.

When the Customer orders on the Website, the bank card is debited immediately according to the following terms: the Customer enters in the designated area, the number of their bank card, without spaces between the numbers, its expiry date, as well as the last three digits of the pictogram on the back of the card.

The bank card is debited at the time of the order.

8. Transfer of Ownership – Transfer of Risk

Ownership of Algosource Products will only transfer to the Customer after full payment of the price by the Customer, regardless of the delivery date of said Products.

Regardless of the date of transfer of ownership of the Products, the transfer of risk of loss and damage relating thereto shall only take place when the Customer takes physical possession of the Products. The Products therefore travel at Algosource's risk.

9. Responsibility

The Products sold on the website algosource.com comply with the regulations in force in France.

Products supplied by Algosource are automatically covered, without additional payment, and independently of the right of withdrawal:

  • of the legal guarantee of conformity provided for in Articles L. 217-4 et seq. of the Consumer Code, for Products that are apparently defective, damaged or do not correspond to the order;
  • of the legal guarantee against hidden defects provided for in Articles 1641 et seq. of the Civil Code, arising from a defect in material, design or manufacture affecting the Products delivered and rendering them unfit for use.

Article L. 217-4 of the Consumer Code:

"The seller delivers goods that conform to the contract and is liable for any defects in conformity existing at the time of delivery."

He is also liable for any lack of conformity resulting from the packaging, assembly instructions, or installation when the latter was his responsibility under the contract or was carried out under his supervision.

Article L. 217-5 of the Consumer Code:

"The property conforms to the contract:"

1° If it is suitable for the purpose usually expected of similar goods and, where applicable:

  • if it corresponds to the description given by the seller and possesses the qualities that the seller presented to the buyer in the form of a sample or model;
  • if it possesses the qualities that a buyer can legitimately expect, having regard to the public statements made by the seller, the producer or their representative, particularly in advertising or labelling;

2° or if it possesses the characteristics defined by mutual agreement between the parties or is suitable for any special purpose sought by the buyer, which has been brought to the seller's attention and accepted by the latter.

Article L. 217-12 of the Consumer Code:

"The action resulting from a lack of conformity is time-barred two years from the date of delivery of the goods."

Article 1641 of the Civil Code:

"The seller is bound by a warranty against hidden defects in the thing sold which render it unfit for its intended use, or which diminish that use to such an extent that the buyer would not have acquired it, or would have given only a lower price, if he had known of them."

Article 1648 of the Civil Code:

"The action resulting from latent defects must be brought by the buyer within two years of the discovery of the defect."

In order to assert its rights, the Client must inform Algosource, in writing, of the non-conformity of the Products within a maximum period of two (2) years from the delivery of the Products or of the existence of hidden defects within a maximum period of two (2) years from their discovery.

The Customer may choose between repair or replacement of the goods, subject to the cost conditions provided for in Article L. 217-9 of the Consumer Code.

Shipping costs will be refunded based on the invoiced rate and return costs will be refunded upon presentation of proof of payment.

Refunds for Products deemed non-compliant or defective will be processed as quickly as possible and no later than thirty (30) days following Algosource's confirmation of the non-compliance or hidden defect. The refund will be issued as a credit to the Customer's bank account or by check mailed to the Customer.

Algosource cannot be held liable in the following cases:

  • non-compliance with the legislation of the country in which the Products are delivered, which it is the Client's responsibility to verify;
  • in case of misuse, use for professional purposes, negligence or lack of maintenance by the Customer, as well as in case of normal wear and tear of the Product, accident or force majeure.

Algosource's guarantee is, in any event, limited to the replacement or refund of non-conforming or defective Products.

10. Intellectual Property

All trademarks, photographs, texts, comments, illustrations, animated or non-animated images, video sequences, sounds, as well as all computer applications that may be used on the website and more generally all elements reproduced or used on the site are protected by the laws in force under intellectual property law.

They are the sole and exclusive property of Algosource or its partners. Any reproduction, representation, use, or adaptation, in any form whatsoever, of all or part of these elements, including computer applications, without the prior written consent of Algosource, is strictly prohibited. Algosource's failure to take action upon becoming aware of such unauthorized uses does not constitute acceptance of said uses or a waiver of its right to pursue legal action. Any simple or hypertext link is strictly prohibited without the express written consent of Algosource.

11. Personal Data

In accordance with French law no. 78-17 of 6 January 1978 concerning information technology, data files and civil liberties, it is noted that the personal data requested from the Customer is necessary for processing their order and issuing invoices, among other things. This data may be shared with Algosource's partners responsible for the execution, processing, management and payment of orders.

Algosource is committed to not disclosing to third parties any information provided by Customers and visitors to the algosource.com website. This information is confidential. It will only be used by Algosource's internal departments for order processing and to enhance and personalize communication, particularly through informational letters and emails, as well as for customizing the website based on observed user preferences.

The processing of information communicated via the Website has been declared to the CNIL.

The Client has a permanent right to access, modify, rectify, and object to information concerning them. This right may be exercised under the conditions and according to the procedures defined on the Website.

The Customer is informed that during visits to the Website, a cookie may be automatically installed on their browser. A cookie is a data file that does not identify the Customer as a user but records information about their browsing activity on the Website. To place an order on the Website, the Customer must accept cookies. The Customer can disable cookies, in which case they will be able to access the Website but will not be able to place orders. Instructions for disabling cookies, depending on the browser used by the Customer, are available on the CNIL website: https://www.cnil.fr .

12. Applicable Law – Dispute Resolution

These terms and conditions of sale and the transactions arising therefrom are governed by and subject to French law, excluding the Vienna Convention. In the event of a dispute or claim, the buyer should first contact Algosource to seek an amicable solution.

The Client is informed that he may in any event resort to conventional mediation, in particular with the Consumer Mediation Commission, in accordance with Article L. 612-1 of the Consumer Code, or with existing sectoral mediation bodies whose references are listed below, or to any alternative dispute resolution method (i.e. conciliation) in the event of a dispute.

13. Partial non-validation

If one or more provisions of these general terms and conditions are held to be invalid or declared as such pursuant to a law, regulation or final decision of a competent court, the other provisions shall remain in full force and effect.

14. Force majeure

Any circumstances beyond the control of the parties that prevent the performance of their obligations under normal conditions shall be considered as grounds for exemption from the parties' obligations and shall result in their suspension.

The party invoking the circumstances referred to above must immediately notify the other party of their occurrence, as well as their disappearance.

The parties will consult to examine the impact of the event and agree on the conditions under which the contract will continue to be performed. If the force majeure event lasts for more than three (3) months, these terms and conditions may be terminated by the affected party.

15. Pre-contractual information – Customer acceptance

The Customer acknowledges having received, prior to placing their order, in a legible and understandable manner, these General Terms and Conditions and all the information and details referred to in Articles L. 111-1 to L. 111-8 of the Consumer Code, and
notably :

  • the essential characteristics of the Product, taking into account the communication medium used and the Product concerned;
  • the price of the Product and its associated costs;
  • in the absence of immediate execution of the contract, the date or period within which Algosource undertakes to deliver the Product;
  • information relating to the identity of Algosource, its postal, telephone and electronic contact details and its activities, insofar as they do not emerge from the context;
  • information relating to legal guarantees and how to implement them;
  • the functionalities of the digital content and, where applicable, its interoperability;
  • the possibility of resorting to conventional mediation in the event of a dispute;
  • Information regarding the right of withdrawal.

Placing an order on the website algosource.com by a natural or legal person implies full and complete acceptance of these general terms and conditions of sale and an obligation to pay for the Products ordered, which is expressly acknowledged by the Customer, who waives, in particular, the right to rely on any contradictory document, which would be unenforceable against Algosource.
